This Agreement for services is between Willhouse (“Designer”, “Service Provider”, “We”), and the Client, for the performance of the services during the life of the Client’s service plan. The parties therefore agree as follows:

A service plan is offered at the discretion of the Service Provider. The service plan may be blocked, suspended or terminated at any time for any reason including, but not limited to, violation of this agreement, actions that may lead to liability for the Service Provider or the employees of the service provider, disruption of access to other users or networks, and violation of applicable laws or regulations.

Willhouse reserves the right to change these terms and conditions at any time.

The Client authorizes Willhouse access to the web hosting account, Control Panel and FTP of the domain(s)/website(s) put under our care.

The Client will ensure that Willhouse be granted an Administration Account on their WordPress site. This account will be used by Willhouse for the purposes of updating the WordPress core and installed plugins and themes, and for the ability to deploy plugins and functionally that are used to provide the Member Maintenance service.

The Client may need to provide Willhouse with user name and password credentials for any services that require our access. Willhouse will make a written request for any credentials should the need arise.

The Client may need to contact their web hosting provider to authorize Willhouse with any and all read/write permissions in order to update the website being serviced.


ONE DOMAIN
Maintenance plans are good for one domain per monthly payment. For multiple domains please contact us.

SITE BACKUPS, MONITORING AND UPDATES
On most sites we use Duplicator Pro as our recurring backup plugin to create full site backups. Backups are stored securely either on our Amazon S3 or Dropbox. Old backups are removed after 30 days. We use WPMUDEV Hub to monitor uptime and performance as well as updates to the WordPress core and any installed plugins and theme. In most cases we can commit the updates automatically. However, some sites require prior testing before making updates. In these circumstances we use a copy of the site to test before we commit updates. These updates can sometimes take longer to commit due to the testing process.

DATABASE OPTIMIZATION
When WordPress core or certain plugins are updated it is sometimes necessary to run a database optimization to clean out old tables or create new ones.

SUPPORT TICKETS
Support Tickets are 30 minutes or less. Any work performed over the 30 minute time limit will be billed on an hourly basis.

ROLLOVER TICKETS
With a PRO PLAN you retain any unused support tickets. You can accumulate up to 12 support tickets.

CANCELLATION/REFUNDS
You can cancel your service plan at anytime by contacting us. Upon cancellation you will not be charged for the next billing cycle. Willhouse reserves the right to cancel any plan at any time. Support tickets have no monetary value. There are no refunds for plans, pre-paid plans, rollover support tickets or for any other reason.

NO WARRANTY
Due to the collaborative nature of Open Source Software, Willhouse does not warrant that the functions contained in the website will be uninterrupted or error-free. In no event will Willhouse or be liable to the Client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or website. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

LIABILITY
In no case shall Willhouse be liable for any incidental, special or consequential damages or loss, including, with out limitation, lost profits or the inability to use Web Site or access to data, whether such damages are based upon a breach of express or implied warranties, breach of contract, negligence, strict tort, or any other legal theory. This is true even if Willhouse is advised of the possibility of such damages.

INDEPENDANT CONTRACTORS
In order to ensure work requests get fulfilled Willhouse reserves the right to hire independent contractors to perform the work.
